1. Acceptance of Terms

Welcome to Fortuna. These Terms of Service ("Terms") constitute a legally binding agreement between you and Kuip Limited ("we," "our," or "us"), the operator of Fortuna, regarding your access to and use of the Fortuna platform at fortuna.provable.dev (the "Service").

By accessing or using our Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

Fortuna is a platform that aggregates and curates information about global opportunities including, but not limited to:

  • Accelerators and incubators
  • Grant programs
  • Hackathons and competitions
  • Venture capital programs
  • Open calls and funding opportunities

We provide tools to search, filter, and discover opportunities based on your interests and needs.

3. Account Registration

You are responsible for maintaining the confidentiality of your account credentials

4. Subscription Tiers and Pricing

4.1 Tier Structure

Fortuna offers multiple subscription tiers.

4.2 Pricing

Prices are subject to change with 30 days' notice. Changes will not affect existing subscriptions during their current billing period.

4.3 Currency

All prices are listed in Euros (€). Your payment method may be charged in your local currency based on your financial institution's exchange rate.

5. Payment Terms

5.1 Payment Processing

Payments are processed securely through Stripe. By providing payment information, you:

  • Authorize us to charge your payment method
  • Represent that you are authorized to use the payment method
  • Agree to Stripe's Terms of Service

5.2 Automatic Renewal

Paid subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You will be charged automatically at the beginning of each renewal period.

5.3 Failed Payments

If a payment fails:

  • We will attempt to charge your payment method again
  • Your access to premium features may be suspended
  • Your subscription may be canceled if payment cannot be processed
  • You will receive email notifications about payment issues

5.4 Taxes

  • All prices are displayed exclusive of VAT, unless stated otherwise.
  • For EU customers, VAT is applied according to local rates.
  • Customers outside the EU are not charged VAT.

6. Promotional Codes

6.1 Promo Code Use

We may offer promotional codes that grant temporary access to premium tiers. Promo codes:

  • Have specific validity periods
  • May have usage limitations
  • Cannot be transferred or sold
  • Are void if obtained through unauthorized means
  • Can be deactivated if misused

6.2 Promo Code Restrictions

  • One promo code per user unless otherwise stated
  • Cannot be combined with other offers
  • No cash value
  • We reserve the right to modify or cancel promo codes at any time

6.3 Abuse of Promo Codes

Creating multiple accounts to redeem promo codes multiple times is strictly prohibited and may result in account termination and legal action.

7. Cancellation and Refunds

7.1 Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation:

  • You will retain access until the end of your current billing period
  • No refund will be provided for unused time
  • Your account will revert to the Free tier after the paid period ends
  • No further charges will be made

7.2 Refund Policy

General Policy:

  • Subscriptions are non-refundable except where required by law
  • We do not provide refunds for partial months or unused time

Exceptions:

  • Technical issues preventing access: Contact support within 7 days
  • Unauthorized charges: Report immediately for investigation
  • Billing errors: Will be corrected promptly

How to Request a Refund: Contact us with your account email and reason for the refund request. Refund requests are reviewed on a case-by-case basis.

7.3 Termination by Us

We reserve the right to suspend or terminate your account if you:

  • Violate these Terms
  • Engage in fraudulent activity
  • Abuse promo codes or payment systems
  • Harm other users or the platform

If we terminate your account for violations, you will not receive a refund for any unused subscription time.

8. User Conduct

8.1 Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

Prohibited Activities:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights
  • Submit false, misleading, or fraudulent information
  • Spam, phish, or engage in any fraudulent schemes
  • Distribute malware, viruses, or harmful code
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the Service
  • Harass, abuse, or harm other users
  • Scrape or systematically extract data without permission
  • Use automated tools (bots, scrapers) without authorization
  • Resell or redistribute access to the Service
  • Create derivative works without permission

8.2 User-Submitted Content

When you submit opportunities, organizations, or other content:

  • You represent that you have the right to submit the content
  • You grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute the content
  • You are responsible for the accuracy of the information
  • We may review, edit, or remove submissions at our discretion

8.3 Content Standards

Submitted content must not:

  • Contain false or misleading information
  • Violate intellectual property rights
  • Include personal information of others without consent
  • Contain offensive, discriminatory, or inappropriate material
  • Promote illegal activities

8.4 Points System

We may award points for certain activities (e.g., submitting opportunities). Points:

  • Have no monetary value
  • Cannot be transferred or sold
  • May be used for platform features as determined by us
  • Can be revoked for violations of these Terms

9. Intellectual Property

9.1 Our Content

The Service and its original content, features, and functionality are owned by Kuip Limited and are protected by international copyright, trademark, and other intellectual property laws.

This includes:

  • The Fortuna name and logo
  • Website design and layout
  • Software and source code
  • Curated opportunity data
  • Documentation and materials

9.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use the Service for your personal, non-commercial use, subject to these Terms.

You may NOT:

  • Copy, modify, or create derivative works
  • Reverse engineer or decompile the software
  • Remove copyright or proprietary notices
  • Use the Service for commercial purposes without authorization

9.3 User Content

You retain ownership of content you submit. By submitting content, you grant us:

  • A worldwide, non-exclusive, royalty-free license
  • The right to use, reproduce, modify, and display the content
  • The right to sublicense the content to our service providers

10. Third-Party Services and Links

10.1 Third-Party Links

The Service may contain links to third-party websites or services that are not owned or controlled by Fortuna. We are not responsible for:

  • The content, privacy policies, or practices of third-party sites
  • Any damage or loss caused by use of third-party services

10.2 Third-Party Services

We use third-party services including:

  • Stripe for payment processing
  • Supabase for database and authentication
  • Google for OAuth authentication

Your use of these services is subject to their respective terms and privacy policies.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability, fitness for a particular purpose, or non-infringement
  • That the Service will be uninterrupted, secure, or error-free
  • That defects will be corrected
  • That the Service or servers are free from viruses or harmful components

Regarding Opportunity Information:

  • We do not verify all information about opportunities
  • We are not responsible for the accuracy, completeness, or reliability of opportunity listings
  • We do not endorse any specific opportunity, organization, or program
  • You should conduct your own due diligence before applying to any opportunity

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KUIP LIMITED AND FORTUNA SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or use
  • Loss of business opportunities
  • Damages resulting from unauthorized access to your account
  • Damages resulting from third-party services or links
  • Any damages exceeding the amount you paid us in the 12 months preceding the claim

Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.

13. Indemnification

You agree to indemnify, defend, and hold harmless Kuip Limited, Fortuna, and their respective affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Content you submit to the Service
  • Your violation of applicable laws

14. Termination

14.1 Termination by You

You may terminate your account at any time by:

  • Contacting us
  • Following the account deletion process in your settings

14.2 Termination by Us

We may suspend or terminate your account immediately, without notice, if you:

  • Violate these Terms
  • Engage in fraudulent or illegal activity
  • Abuse the Service or harm other users
  • Fail to pay subscription fees

14.3 Effect of Termination

Upon termination:

  • Your right to use the Service immediately ceases
  • We may delete your account and data after 90 days
  • Provisions that should survive termination will remain in effect
  • No refunds will be provided for subscription fees

14.4 Survival

The following sections survive termination: Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, Dispute Resolution, and General Provisions.

15. Dispute Resolution

15.1 Governing Law

These Terms are governed by the laws of the European Union and the country where Kuip Limited is registered, without regard to conflict of law principles.

15.2 Informal Resolution

Before filing a claim, you agree to contact us to attempt to resolve the dispute informally. We will attempt to resolve the dispute within 60 days.

15.3 Arbitration

If informal resolution fails, disputes will be resolved through binding arbitration rather than in court, except:

  • Small claims court actions
  • Injunctive relief for intellectual property infringement
  • Violations requiring immediate action

16. Changes to Terms

16.1 Modifications

We reserve the right to modify these Terms at any time. Changes will be effective:

  • Immediately upon posting for non-material changes
  • 30 days after notice for material changes

16.2 Notice of Changes

We will notify you of material changes by:

  • Posting the updated Terms with a new "Last Updated" date
  • Sending an email to your registered email address
  • Displaying a notice on the Service

16.3 Acceptance of Changes

Continued use of the Service after changes constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service and may cancel your account.

17. General Provisions

17.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Fortuna regarding the Service.

17.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

17.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

17.4 Assignment

You may not assign or transfer these Terms or your account without our written consent. Kuip Limited may assign these Terms to any affiliate or successor without restriction.

17.5 Force Majeure

We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, natural disasters, or government actions.

17.6 No Agency

Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Kuip Limited.

17.8 Language

These Terms are provided in English. Translations may be provided for convenience, but the English version controls in case of conflicts.

18. Special Provisions for EU Users

18.1 Right of Withdrawal

If you are in the European Union, you have the right to withdraw from a purchase within 14 days without giving a reason. However, if you start using the Service during this period, you acknowledge that you lose this right of withdrawal.

18.2 Consumer Rights

Nothing in these Terms affects your statutory rights as a consumer under EU law.

For clarity, the following terms have these meanings:

  • "Service": The Fortuna platform and all related services
  • "We," "Our," "Us": Kuip Limited, the operator of Fortuna

  • "Account": Your registered user account
  • "Content": All text, images, data, and materials on the Service
  • "Subscription": A paid membership tier
  • "User Content": Content you submit to the Service
  • "Terms": These Terms of Service

By using Fortuna, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy.
